Terms of Service
These Terms govern your use of Kermo. Please read them carefully. By creating an account you agree to be bound by them.
1. Definitions
"Kermo", "we", "us" refers to the Kermo service operated by an individual entrepreneur (ФОП) registered in Ukraine. "Service" means the Kermo web application and related APIs. "Customer", "you" means the individual or legal entity that registers an account. "Paddle" means Paddle.com Inc., our authorised reseller and Merchant of Record for all sales.
2. Acceptance of Terms
By registering an account, accessing, or using the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
3. The Service
Kermo provides a fleet management web application targeted at small and medium-size businesses. Features include vehicle tracking, transfer workflows, driver management, daily inspections, incident logging, and approval flows. Available features depend on your subscription plan.
4. Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate registration information and notify us promptly of any unauthorised use.
5. Subscription, Billing & Refunds
We offer a free 14-day trial for new accounts. After the trial, paid subscriptions are billed monthly in advance via Paddle. Paddle acts as our Merchant of Record, handling payment processing, sales tax / VAT, and invoicing.
Plan upgrades take effect immediately with prorated charges. Downgrades take effect at the end of the current billing period. Refunds are governed by our Refund Policy.
You may cancel your subscription at any time from your account settings. The Service remains active until the end of the current billing period.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law;
- Reverse engineer, decompile, or attempt to extract source code;
- Resell, sublicense, or otherwise commercially exploit the Service;
- Upload viruses, malware, or content infringing third-party rights;
- Attempt to gain unauthorised access to other accounts or our infrastructure;
- Use the Service to send unsolicited messages or to track individuals without their consent.
7. Intellectual Property
The Service, including all software, design, and content (excluding your data), is owned by Kermo and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.
You retain all rights to the data you upload (vehicle records, driver information, incident reports, etc.). You grant us a limited licence to process this data solely to operate and improve the Service.
8. Data Protection
We process personal data in accordance with our Privacy Policy. For business customers based in the EU, a Data Processing Agreement (DPA) is available on request.
9. Termination
You may terminate your account at any time by cancelling your subscription. We may suspend or terminate your account if you breach these Terms, fail to pay, or for prolonged inactivity. On termination, your data will be retained for 30 days, then permanently deleted unless legally required to retain longer.
10. Disclaimers
The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or meet any specific requirements. We disclaim all implied warranties to the maximum extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages.
12. Indemnification
You agree to indemnify and hold harmless Kermo from any claims arising from your misuse of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Governing Law & Disputes
These Terms are governed by the laws of Ukraine. Any disputes shall be resolved in the competent courts of Ukraine, except where mandatory consumer protection laws of your country of residence apply.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email and require your acceptance before continued use of the Service. The "Last updated" date at the top reflects the current version.
